Quoted cash shells

 

In some circumstances, reversing into a Cash Shell may present an attractive alternative to an IPO or private equity fundraising. A reverse may enable a transaction to be structured so as to better cope with some circumstances.  Examples are:

 

A company with a track record which may not be attractive to a nomad or broker but which combined with a shell could be attractive;

 

 

A management buy-out/buy-in team - with cash but the acquisition strategy may be easier to execute with quoted paper in place as or before the target is identified;

 

A small or no funding requirement – which may make it harder to attract broker interest – and in any event a cash shell will provide better liquidity;

 

A failed or failing quoted company - where some shareholder value may be retained by a restructuring that enables use of their company as a shell.

Likewise we advise and assist on disposals. The choice of exit route, the targeted valuation and the structuring of the transaction can make a significant difference to the speed and outturn achieved.
